Terms of Service

You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

Paid plans are billed on a recurring basis (monthly or annually) in advance. Fees are non-refundable except as required by law. Taxes are your responsibility unless otherwise stated. Failure to pay may result in suspension or termination of your account.

We may change subscription fees with at least 30 days' notice. Changes take effect at the start of your next billing period.

You agree not to:

• Use the Service to violate any law or third-party right
• Upload or distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Reverse engineer, decompile, or extract the source code of the Service
• Circumvent rate limits, usage quotas, or access controls
• Resell, sublicense, or white-label the Service without written permission
• Scrape, harvest, or use automated means to collect data from the Service beyond documented APIs
• Use the Service to send unsolicited communications

We may suspend access without notice for suspected violations.

You retain all rights, title, and interest in the content you upload to the Service ("Customer Content"). You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, and display your Customer Content solely to provide the Service to you.

We do not claim ownership of your submittal packages, drawings, project data, or product libraries. We do not use Customer Content to train general-purpose AI models.

Submittal.app, the Service, and all associated software, designs, trademarks, and documentation are owned by Brilliant Light Source Inc. or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written permission.

The Service may include AI-assisted features such as specification extraction, product matching, and summarization. These features are provided on an "as-is" basis, may produce inaccurate or incomplete results, and must be reviewed by a qualified professional before being relied upon for any construction, engineering, or procurement decision. You are responsible for independently verifying all AI output.

The Service may integrate with third-party services (e.g., Stripe for payments, Google/Microsoft for single sign-on). Your use of those services is governed by their respective terms. We are not responsible for the acts, omissions, or content of third parties.

Each party agrees to protect the other's confidential information using the same degree of care it uses to protect its own (but no less than reasonable care) and to use it only as necessary to perform under these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Submittal, its affiliates, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your Customer Content, or your use of the Service.

You may cancel your account at any time through the Service. We may suspend or terminate your account for material breach of these Terms, non-payment, or to comply with legal requirements. Upon termination, provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and governing law) will continue in effect.

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Orange County, California for any dispute arising under these Terms.

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
